Tenancy Agreement in Uganda: Every Clause You Need (Free Template)

A tenancy agreement in Uganda does not need a lawyer for an ordinary let, but it does need the right things in writing. Since the Landlord and Tenant Act 2022, a written agreement is the expected way to let a house, flat, room or shop, and it is the document a court will read first if anything goes wrong. This guide goes clause by clause. At the end you can generate a completed agreement free with Rento.
1. The parties
Full legal names, phone numbers and an ID number for the tenant (national ID or passport). If a company rents the premises, name the company and the person signing for it. If an agent or caretaker signs for the landlord, say so.
2. The premises
Describe the exact unit, not just the building: "Unit A3, Kasese Flats, Plot 4, off Rubaga Road". If parking, a store or a shared toilet is included, list it. Ambiguity here is the root of most later arguments.
3. Commencement and term
State the move-in date. Then choose one of two structures:
- Monthly periodic tenancy. Continues month to month until either side gives notice. Most residential lets in Uganda work this way.
- Fixed term. Ends on a stated date unless renewed in writing. Common for shops and offices.
4. Rent, due day and payment method
The monthly rent in Uganda shillings, paid in advance on or before a stated day of the month. Name the methods you accept: cash to the caretaker against a receipt, mobile money to a stated number, or bank transfer. If you accept rent by mobile money, say which number.
5. Receipts
Commit to issuing a receipt for every payment, including part payments. It is a legal duty and it is your evidence. Numbered receipts are best; see rent receipts in Uganda.
6. Security deposit
The amount, what it covers (unpaid rent, unpaid utilities, damage beyond fair wear and tear) and that it is refunded less itemised deductions when the tenant vacates. Read security deposits in Uganda before you set the amount.
7. Rent review
The Act limits increases to once a year and, without agreement, to ten per cent, with written notice. Write the rule into the agreement so nobody is surprised. See how to increase rent legally.
8. Utilities and services
Who pays for electricity, water, garbage collection and security. If the tenant pays through you, say that a receipt will be issued for utility money too.
9. Landlord's obligations
Deliver the premises clean, safe and habitable; keep the structure, roof, plumbing and wiring in repair; give reasonable notice before entering except in an emergency; pay owner's rates and taxes.
10. Tenant's obligations
Pay rent on time; keep the interior clean; report damage promptly; use the premises only for the agreed purpose; no subletting or structural changes without written consent; return the premises in the condition received, fair wear and tear excepted.
11. Repairs
Damage caused by the tenant, their household or visitors is the tenant's cost. Structural repairs and fair wear and tear are the landlord's.
12. Notice and termination
For a monthly tenancy, how much written notice either side gives, and that the Act's procedure is followed for arrears or serious breach. For a fixed term, that it ends on the date stated unless renewed. Say plainly that no eviction happens except by due process of law; a court will hold you to it anyway.
13. Disputes and governing law
Talk first; then the local council court or a competent court of Uganda. The agreement is governed by the laws of Uganda including the Landlord and Tenant Act 2022.
14. Signatures and witnesses
Both parties sign and date. One witness each is good practice. Make two copies and give the tenant theirs on the day.
What to leave out
Clauses that let you enter without notice, cut utilities to force payment, keep the deposit as a penalty, or evict without process are unenforceable and make the whole document look bad in court. A short, fair agreement is stronger than a long aggressive one.

Frequently asked questions
Is a verbal tenancy agreement valid in Uganda?
A verbal agreement can create a tenancy, but proving its terms is hard. The Act expects terms in writing, and a signed document is what a court will rely on. Always put it in writing.
Do I need a lawyer to draft a tenancy agreement?
Not for a standard residential or small commercial let. Use a clear template that covers the clauses above. For unusual terms, large commercial premises or long fixed terms, have a lawyer review it.
Should the rent be written in dollars or shillings?
In Uganda shillings. The Act requires rent to be expressed and paid in shillings.
How many copies should be signed?
Two originals, one for each party. If a caretaker manages the property, give them a photocopy so they know the due day and the rent.
